"THE WEB APPLICATION" SHALL BE TAKEN TO MEAN THE APPLICATION PROVIDED ON EFFECTIVITREE.NET AND ANY SUBEQUENT VERSIONS OR UPGRADES RECEIVED AS A RESULT OF HAVING PURCHASED A LICENSE FOR THE USE OF EFFECTIVITREE. "LICENCEE" SHALL BE TAKEN AS THE ORIGINAL PURCHASER OF THE LICENSE.
LICENCEE HAS THE NON-EXCLUSIVE RIGHT TO USE THE WEB APPLICATION. EACH LICENCE GRANTS THIS RIGHT TO ONE SINGLE PERSON, BUT DOES NOT RESTRICT THE USE OF THE SOFTWARE TO A SINGLE COMPUTER. IF AN EMPLOYER BOUGHT A LICENCE FOR AN EMPLOYEE, THE LICENCE IS VALID FOR THE EMPLOYEE'S PERSONAL PRIVATE USE TOO.
LICENCEE SHALL NOT DISTRIBUTE COPIES OF THE LICENCE NUMBER OR THE ACCOMPANYING DOCUMENTATION TO OTHERS EITHER FOR A FEE OR WITHOUT CHARGE. LICENCEE SHALL NOT DECOMPILE, DISASSEMBLE OR OTHERWISE REVERSE ENGINEER ANY PORTION OF THE WEB APPLICATION.
LICENCEES USE OF THE WEB APPLICATION INDICATES HIS/HER ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF LICENCEE DOES NOT AGREE TO THESE CONDITIONS, HE/SHE MUST NOT USE THE SOFTWARE.
THIS LICENSE AGREEMENT SHALL BE GOVERNED BY THE LAWS OF THE FEDERAL REPUBLIC OF GERMANY AND SHALL INURE TO THE BENEFIT OF METHODE.DE GMBH OR ITS ASSIGNS.
PROPERTY
LICENCEE AGREES THAT ALL WEB APPLICATIONS SHALL BE AND REMAIN EXCLUSIVE PROPERTY OF THE LICENSOR.
ACCESS
LICENSEE AGREES THAT THE PROVIDER OF INTERNET ACCESS USED TO ACCESS THE WEB APPLICATION MAY CHARGE FOR THE INTERNET ACCESS.
LICENSEE AGREES THAT WE DO NOT GUARANTEE THE UNINTERRUPTED, CONTINUOUS AND ERROF-FREE OPERABILITY OF THE WEB APPLICATION. LICENSEE AGREES THAT WE DO NOT GUARANTEE THAT THE WEB APPLICATION WILL RESPOND AT A CERTAIN SPEED.
LICENSEE ACCEPTS RESPONSIBILITY FOR ALL ACCESS TO THE WEB APPLICATION BY HIM ON ANY DEVICE WHETHER OR NOT IT IS OWNED BY HIM.
DISCLAIMER / LIMITATION OF LIABILITY:
LICENCEE ACKNOWLEDGES THAT THE WEB APPLICATION MAY NOT BE FREE FROM DEFECTS AND MAY NOT SATISFY ALL OF LICENCEE´S NEEDS. THE WEB APPLICATION AND ANY ACCOMPANYING WRITTEN MATERIALS ARE LICENSED "AS IS". LICENCEE'S EXCLUSIVE REMEDY DURING THE WARRANTY PERIOD SHALL CONSIST OF REPLACEMENT OF ASSOCIATED MATERIALS IF DETERMINED TO BE FAULTY.
IN NO EVENT WILL METHODE.DE GMBH BE LIABLE TO LICENCEE OR TO ANY THIRD PARTY FOR DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGE OR DAMAGES RESULTING FROM LOSS OF USE, OR LOSS OF ANTICIPATED PROFITS RESULTING FROM ANY DEFECT IN THE WEB APPLICATION, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
Severability clause
Should individual terms of this Agreement be ineffective, the legal effectiveness of the other terms is not affected. Invalid terms shall be replaced or loopholes filled by an appropriate provision which comes as close as possible to what the parties of this agreement would have wanted.
